Terms and Conditions of Sale (TCS) – eazit Sàrl

Purpose

These Terms and Conditions of Sale (TCS) define the rights and obligations of the parties in the context of the sale of products and/or services offered by eazit Sàrl. Any order implies the client's unconditional acceptance of these TCS.

Products and Services

The products and services offered by eazit Sàrl are described accurately on all communication media. Photographs and descriptions are provided for illustrative purposes and do not contractually bind eazit Sàrl.

Offers

Offers proposed by eazit Sàrl are valid for thirty (30) calendar days from their issuance date, unless otherwise stated. Prices indicated in the offers are expressed in Swiss Francs (CHF) and exclude taxes, VAT: 8.1%.

Delivery fees or other potential charges are specified before order confirmation. eazit Sàrl reserves the right to modify its prices at any time, but products and services will be billed based on the prices in effect at the time of the order.
Note: Purchasing devices requires subscriptions. The minimum subscription period for each service (management platform, 4G subscription, payment gateway, maintenance, consumer hotline, etc.) is one year from the installation date of the machine or service subscription. Beyond the one-year period, the client may terminate a service with a three-month notice.

Order

Any order is considered firm and definitive only after receiving the offer signed by the client and the corresponding deposit payment (50% of the total amount). eazit Sàrl will process the order only when both conditions are met: the signed offer is returned and validated by its services, and the deposit is effectively received. The client also commits to providing accurate and complete information when placing the order.

Payment

Payment is made as follows:

  • For devices and services: A 50% deposit of the total amount is required upon ordering to initiate the process. The remaining 50% is due upon delivery.
  • For subscriptions: Payment can be made either monthly or in a single annual payment, according to the option chosen by the client at the time of subscription.

The order or service will be processed only after receiving the required payments. In case of non-payment of any installment, eazit Sàrl reserves the right to suspend the order or associated service. Additionally, any payment delay will result in interest charges at the prevailing rate at the time of the delay, calculated on the amount due until full payment is received.

Delivery Times

eazit Sàrl commits to delivering products within the agreed-upon timeframes at the time of order. These timeframes are indicative, and eazit Sàrl strives to adhere to them. However, eazit Sàrl cannot be held responsible for delivery delays due to exceptional circumstances, delays attributable to manufacturers or suppliers, or any other events beyond its control. In case of delay, the client will be informed as soon as possible. Risks related to product transportation are transferred to the client upon order receipt, unless otherwise stated at the time of order.

Assembly, Installation, Intervention

Any intervention by eazit Sàrl not contractually planned will be subject to a separate billing. These additional services will be billed based on the hourly rates and tariffs in effect at the time of the intervention. For any specific request, a quote can be provided prior to the intervention.

Warranty and Liability

eazit Sàrl guarantees that the products sold conform to their description and are free from hidden defects. In case of an issue, the client must follow these steps:

  • Claims: Any claim regarding a product or service must be reported to eazit Sàrl in writing at info@eazit.ch within eight (8) calendar days following the receipt of products or service completion. After this period, no claims will be considered.
  • Warranty: Products come with the applicable legal warranties (legal conformity warranty and warranty against hidden defects). In case of an issue covered by these warranties, eazit Sàrl commits to repairing, replacing, or refunding the product at its discretion after verifying the claim. However, the warranty does not cover damages resulting from misuse, non-compliance with provided instructions, negligence, inadequate maintenance, or unauthorized modifications to the product.

The client must provide all necessary evidence to support their claim, such as photos, detailed descriptions, or any other useful elements. Return shipping costs for defective products may be borne by the client unless eazit Sàrl decides otherwise.

Equipment Maintenance

The client may subscribe to a maintenance contract for equipment purchased from eazit Sàrl. This optional contract provides the client with dedicated service to handle equipment maintenance or repair. The terms, conditions, and services covered by this maintenance contract are defined in the specific document related to the contract. Clients are advised to refer to this contract for details and applicable exclusions.

Personal Data

eazit Sàrl commits to respecting client data confidentiality in accordance with the General Data Protection Regulation (GDPR). Collected information is used solely for order management and is never shared without consent.

Intellectual Property

All elements of eazit Sàrl's website or materials (texts, images, logos) are protected by intellectual property rights and remain the exclusive property of the company.

Applicable Law and Jurisdiction

These TCS are subject to Swiss law. In case of a dispute, the parties will strive to find an amicable solution. Failing that, the competent court will be that of eazit Sàrl's headquarters.
